These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and ZARVES LLC ("Company," "we," "our") governing your use of the Valet Spots mobile application and all related services ("App"). BY USING THE APP, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE APP.
Valet Spots is a peer-to-peer marketplace that facilitates voluntary parking spot handoffs between users. Users vacating a parking space ("Notifiers") can list their spot, and users seeking a space ("Claimers") can claim and pay for it. The Company acts solely as a technology intermediary and is NOT a parking provider, parking operator, or party to any parking transaction.
To use the App, you must:
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information and notify us immediately of any unauthorized use. We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice.
All payments are processed by Stripe, Inc. via Stripe Connect. The Company does not store your payment card or bank account information. Transaction proceeds are split between the Notifier and the Company per the rates displayed in the App.
The App includes a points-based rewards system. Points are awarded at the Company's discretion and have no guaranteed cash value. The Company reserves the right to modify, suspend, or terminate the points program at any time without notice or compensation.
You agree to indemnify, defend, and hold harmless ZARVES LLC and its members, managers, officers, and employees from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from your use of the App, violation of these Terms, or any parking transaction you participate in.
You agree NOT to: list spots you do not currently occupy; provide false location information; manipulate the points system; harass other users; or use automated scripts to interact with the App. Violations may result in immediate account termination without refund.
ZARVES LLC is a technology platform only. We do not own, operate, or control any parking spaces. We do not employ Notifiers or Claimers. All users are independent individuals acting on their own behalf. The Company has no control over whether a spot is available, legal, safe, or accessible.
The App uses GPS technology and third-party mapping services. GPS data may be inaccurate, delayed, or unavailable. The Company makes no warranties regarding navigation accuracy. Users are responsible for safe driving and must comply with all traffic laws.
All content and features of the App are the exclusive property of ZARVES LLC, protected by U.S. Copyright Registrations TXu 2-322-610 and Case No. 1-15143523291 (filed April 16, 2026). You may not copy, reproduce, or distribute any portion of the App without prior written consent.
The Company may suspend or terminate your account at any time for any reason. Upon termination, your right to use the App ceases immediately. Points below the minimum redemption threshold will be forfeited. Sections 6, 7, 8, 12, 14, and 15 survive termination.
These Terms are governed by the laws of New York State. Disputes shall be resolved by binding arbitration under AAA rules in New York. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION.
We may update these Terms at any time. We will notify you of material changes via push notification or email. Continued use constitutes acceptance of updated Terms.
